1. Acceptance of Terms
By downloading, installing, accessing, or using NexusTrade AI ("App"), developed by Nicholas Insalata ("Developer"), you ("User", "you") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to ALL of these Terms, you must immediately uninstall the App and discontinue use.
2. Eligibility
You must be at least 18 years of age to use this App. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.
3. Disclaimer: NOT Financial Advice
- This App is provided for INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY.
- NexusTrade AI and Nicholas Insalata are NOT registered investment advisors, broker-dealers, or financial planners in any jurisdiction.
- The App does NOT provide personalized investment advice, recommendations, or strategies.
- All trading decisions displayed are generated by automated algorithms based on technical indicators and AI analysis. These are NOT recommendations to buy, sell, or hold any securities.
- You acknowledge that you are solely responsible for your own trading decisions and that the Developer bears NO responsibility for any financial outcomes, losses, or damages.
- ALWAYS consult with a qualified financial advisor before making investment decisions.
4. Risk Disclosure
Trading stocks, options, and other financial instruments carries a HIGH DEGREE OF RISK, including:
- The risk of losing your ENTIRE investment.
- Losses that may exceed your initial deposit (if using margin).
- Market volatility, gaps, and illiquidity.
- Technical failures, API errors, and network outages.
- AI Hallucinations: The AI may generate incorrect or nonsensical signals.
You should NOT trade with money you cannot afford to lose. Past performance of any trading system or algorithm is NOT indicative of future results.
5. No Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability or fitness for a particular purpose.
- Accuracy, reliability, or completeness of any information.
- Uninterrupted or error-free operation.
- Compatibility with your device or brokerage account.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- The Developer, Nicholas Insalata, and any affiliates shall NOT be liable for ANY damages
arising from your use of the App, including but not limited to:
- Trading losses, lost profits, or lost savings.
- Loss of data or business interruption.
- Indirect, incidental, special, punitive, or consequential damages.
- Errors, bugs, or malfunctions of the software.
- Delays or failures in trade execution by third-party brokers.
- Any unauthorized access to your device or data.
- Our total liability shall not exceed $10 USD or the amount you paid for the App (if any), whichever is less.
- This limitation applies regardless of the legal theory (contract, tort, negligence, etc.) and even if the Developer has been advised of the possibility of such damages.
7. Indemnification
You agree to indemnify, defend, and hold harmless the Developer, Nicholas Insalata, from any claims, liabilities, damages, losses, or expenses (including legal fees and court costs) arising from:
- Your use or misuse of the App.
- Your violation of these Terms.
- Your violation of any third-party rights or applicable laws.
- Any financial losses incurred through your trading activities.
- Any dispute between you and any third party (including your broker).
8. User Responsibilities
You agree to:
- Provide valid API credentials from Alpaca Markets.
- Comply with all terms and conditions of your brokerage (Alpaca).
- Comply with all applicable securities laws and regulations in your jurisdiction.
- Keep your device and API keys secure.
- Not use the App for market manipulation (spoofing, wash trading, etc.) or any illegal purpose.
- Monitor your trades and account status regularly.
9. Intellectual Property
All content, trademarks, and intellectual property in the App are owned by or licensed to the Developer. You may not copy, modify, distribute, or reverse-engineer any part of the App.
10. Third-Party Services
The App integrates with third-party services (Alpaca, DeepSeek AI). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions, availability, or content of third-party services.
11. Modifications
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting within the App. Your continued use of the App constitutes acceptance of the modified Terms.
12. Termination
We may terminate or suspend your access to the App at any time, without prior notice, for any reason, including violation of these Terms. Upon termination, you must cease all use of the App.
13. Dispute Resolution
Any dispute arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States. You waive your right to participate in class actions.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law principles.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms constitute the entire agreement between you and the Developer regarding the App and supersede all prior agreements.
